Mergers and Acquisitions

Our lawyers have a wealth of experience in assisting buyers and sellers in mergers, sales of stock and assets, and leveraged buyouts, primarily in middle market transactions between $25 million and $250 million in value. We work closely with clients and their accountants, as well as our firm’s tax, real estate, and labor and employment lawyers, to ensure that each client obtains the results it expects from each transaction.

Securities

We advise our clients on private placements of stock, partnership interests and limited liability company interests, helping them raise money for all types of businesses. In these matters, our focus is on aiding our clients in complying with the securities laws, and on crafting offering documents that fully describe the investment opportunity and provide protection from liability.

Financing

Our corporate and securities lawyers work with our clients to help them borrow the money they need for working capital and acquisitions of assets and other businesses. We also have substantial experience aiding clients in restructuring their borrowing arrangements to obtain easier terms during tough times.
